Terms of service

1. Nature of services

Convergence Data Analytics LLC ("CDA") provides automated entity network intelligence reports compiled from publicly available federal databases including SAM.gov, USAspending.gov, and the SAM Exclusion List. All data used in our reports is publicly accessible to any person or organization.

2. Informational purposes only

All reports, analyses, and data compilations provided by CDA are for informational purposes only. CDA does not provide legal advice, expert testimony, investigative services, or regulatory compliance consulting. Our reports are not intended for use as evidence in litigation or regulatory proceedings without independent verification by qualified professionals.

3. No accusations or conclusions

CDA reports present data patterns identified through automated cross-referencing of public databases. These patterns may have legitimate explanations including normal corporate structures, shared office buildings, or standard business practices. CDA does not make accusations of fraud, misconduct, or wrongdoing against any entity or individual. All findings are presented as patterns warranting standard due diligence review.

4. No expert witness or testimony services

CDA LLC does not provide expert witness services and is not available for deposition, testimony, or any form of legal proceeding. Purchasers of CDA reports acknowledge that CDA's role is limited to data compilation and analysis. Any use of CDA reports in legal or regulatory contexts is the sole responsibility of the purchaser.

Any purchaser who subpoenas, contacts, or attempts to involve CDA LLC or its principals in any legal, regulatory, or investigative proceeding agrees to reimburse CDA LLC for all legal fees and costs incurred in responding to such request.

5. Data accuracy

CDA makes reasonable efforts to ensure accuracy of data compilation including verification of exclusion records against official SAM.gov sources. However, CDA does not guarantee the completeness or accuracy of underlying federal data sources. Purchasers are encouraged to independently verify all findings before taking action based on report contents.

CDA relies on data published by U.S. government agencies. CDA does not control, verify, or guarantee the timeliness, completeness, or accuracy of SAM.gov, USAspending.gov, or any other federal source. Purchasers assume all risk of relying on the underlying government data.

6. Refund policy

CDA offers a 14-day refund guarantee on all purchased reports. Refunds are available only if the report contains a material factual error in the compiled data (not interpretation or analysis). All refund requests must be made in writing to info@convergence-data-analytics.com within 14 days of purchase.

7. Intellectual property

Reports and analyses produced by CDA are proprietary compilations. While the underlying federal data is public, CDA's methodology, network mapping algorithms, geographic visualizations, risk-scoring logic, and report formatting are proprietary trade secrets. Purchasers receive a limited, non-exclusive, non-transferable license to use the report internally within their organization. Purchasers may not redistribute, resell, publish, screenshot for external sharing, or otherwise disclose report contents to any third party without prior written permission from CDA LLC. Violation of this license will result in immediate termination of the license and may subject the purchaser to legal action.

8. Limitation of liability

CDA LLC's liability for any claim arising from the use of our reports is limited to the purchase price of the specific report in question. CDA LLC is not liable for any indirect, consequential, or punitive damages arising from the use or interpretation of our reports. In no event shall CDA LLC's aggregate liability exceed the purchase price of the specific report in question, regardless of the legal theory (contract, tort, negligence, or otherwise).

9. Governing law and dispute resolution

These Terms shall be governed by the laws of the State of Missouri without regard to conflict of laws principles. Any dispute arising from these Terms or the purchase of any report shall be resolved exclusively in the state or federal courts located in St. Louis County, Missouri. Purchasers agree to submit to the personal jurisdiction of such courts and waive any objection to venue.

10. Buyer indemnity

Purchaser agrees to indemnify, defend, and hold harmless CDA LLC, its officers, members, and agents from any claims, losses, or damages (including attorney fees) arising from purchaser's use, interpretation, or redistribution of any report, including any claims of defamation, regulatory violation, or third-party reliance on the report.
